Terms of Service.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Kitalon Labs LLC ("Kitalon Labs", "we", "our", "us"), governing your use of the following Android applications: PayRadar, PixelPro AI, Quick Convert, and ScanLite (each an "App", collectively the "Apps").

By downloading, installing, or using any App, you confirm that you are at least 13 years of age (or the minimum age required in your jurisdiction), that you have the legal capacity to enter into these Terms, and that you agree to be bound by them. If you do not agree, do not install or use the Apps.

These Terms incorporate our Privacy Policy (https://kitalonlabs.com/privacy), which is part of this agreement.

Subject to your compliance with these Terms, Kitalon Labs grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to install and use the App on Android devices that you own or control, solely for your personal, non-commercial purposes.

You may not:

• (a) copy, modify, distribute, sell, or lease any part of the Apps;
• (b) reverse engineer, decompile, disassemble, or attempt to extract the source code of any App, except where permitted by applicable law;
• (c) remove, obscure, or alter any proprietary notices, labels, or marks;
• (d) use the Apps in any way that violates applicable local, national, or international law or regulation;
• (e) use the Apps to transmit unsolicited communications, malware, or harmful code;
• (f) attempt to gain unauthorised access to any part of the Apps or related systems.

PayRadarSubscription Tracker

PayRadar is a personal finance organisation tool. It does not access your bank accounts, payment cards, or any financial institution. All subscription data is self-reported by you and stored locally on your device. Kitalon Labs is not responsible for inaccuracies in manually entered data, missed renewal alerts caused by device notification settings, or financial decisions made in reliance on the App.

Renewal Reminders: Reminder notifications are best-effort features and are subject to Android system constraints (battery optimisation, Do Not Disturb mode). Kitalon Labs does not warrant that notifications will be delivered at any specific time or at all.

PixelPro AIAI Photo Editor

By using cloud processing features within PixelPro AI, you grant Kitalon Labs a limited, transient licence to process your images solely for the purpose of performing the requested editing operation. This licence is revoked automatically upon completion of the operation. You represent and warrant that you own or have the necessary rights to process any image you submit.

You must not submit images that: (i) depict illegal content; (ii) infringe third-party intellectual property rights; (iii) constitute harassment, defamation, or invasion of privacy; (iv) are subject to export control restrictions.

Quick ConvertFile Converter

By uploading files for conversion, you represent and warrant that you own or have the necessary rights to convert those files, and that the conversion does not infringe any third-party intellectual property rights. You must not use Quick Convert to circumvent digital rights management (DRM) protections or to convert content in violation of applicable law or licence terms.

Kitalon Labs provides conversion features on an "as-is" basis. We do not guarantee output file quality, compatibility with third-party software, or preservation of all formatting or metadata during conversion.

ScanLiteDocument Scanner

ScanLite processes all scanned documents locally on your device. You are solely responsible for the security and confidentiality of documents you scan. Kitalon Labs is not liable for any loss, disclosure, or misuse of documents scanned using the App. You must not use ScanLite to scan or reproduce documents in a manner that violates applicable law, including without limitation documents protected by copyright, official identification documents where reproduction is prohibited, or classified materials.

Pricing and billing

Certain Apps offer in-app purchases, auto-renewing subscriptions, and/or one-time "lifetime" licence purchases (collectively, "Paid Features"). All purchases are processed by Google LLC via Google Play. By making a purchase, you also agree to Google Play's Terms of Service.

Prices are displayed in your local currency as presented at the time of purchase. Prices may vary by region and are subject to change.

Auto-renewing subscriptions

Subscriptions automatically renew at the end of each billing period (weekly, monthly, or annual as selected) unless cancelled at least 24 hours before the end of the current period. Your Google Play account will be charged for renewal within 24 hours before the end of the current period. You may manage and cancel subscriptions at any time through Google Play (play.google.com/store/account/subscriptions).

Lifetime licences

A "lifetime" or "one-time" purchase grants you a perpetual licence to use the App's premium features as they exist at the time of purchase. "Lifetime" refers to the commercially reasonable operational lifetime of the App; it does not create any obligation on Kitalon Labs to maintain the App indefinitely. Kitalon Labs reserves the right to discontinue the App with at least 30 days' notice, during which time no refund will be due solely on account of discontinuation, except as required by applicable consumer law.

Refunds

All purchases are generally non-refundable except as required by applicable consumer protection law in your jurisdiction. Refund requests must be submitted through Google Play. Kitalon Labs does not process refunds directly and cannot override Google Play's refund decisions.

Free trials

Where a free trial is offered, you will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically activate and your payment method will be charged.

The Apps and all content, features, and functionality (including but not limited to software code, UI design, graphics, icons, and text) are owned by Kitalon Labs or its licensors and are protected by copyright, trademark, patent, and other intellectual property laws. These Terms do not transfer any intellectual property rights to you.

"Kitalon Labs," the Kitalon Labs logo, and all App names and logos are trademarks or service marks of Kitalon Labs LLC. You may not use these marks without our prior written consent.

You retain all ownership rights in content you create using the Apps (for example, edited photos, converted files, scanned documents). You grant Kitalon Labs a limited licence to process your content solely to the extent necessary to provide the App's features to you. We do not claim ownership of your content and do not use it for any purpose beyond operating the App.

Our collection and use of your personal information is governed by our Privacy Policy, available at https://kitalonlabs.com/privacy, which is incorporated into these Terms by reference.

The Apps integrate with third-party services including Google Play, Firebase, and RevenueCat. Your use of those services is subject to the applicable third-party terms and policies. Kitalon Labs is not responsible for the practices or content of any third-party service.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE APPS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. KITALON LABS SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

KITALON LABS DOES NOT WARRANT THAT: (I) THE APPS WILL MEET YOUR REQUIREMENTS; (II) THE APPS WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (III) THE RESULTS OBTAINED FROM THE USE OF THE APPS WILL BE ACCURATE OR RELIABLE; OR (IV) ANY ERRORS IN THE APPS WILL BE CORRECTED.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KITALON LABS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE APPS; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY THIRD-PARTY CONDUCT OR CONTENT IN CONNECTION WITH THE APPS; (D) ANY OTHER MATTER RELATING TO THE APPS.

KITALON LABS'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APPS SHALL NOT EXCEED THE AMOUNT YOU PAID TO KITALON LABS IN THE 12 MONTHS PRECEDING THE CLAIM, OR USD 10, WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Kitalon Labs and its officers, directors, and employees from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from: (a) your use of the Apps in violation of these Terms; (b) your User Content; (c) your violation of any third-party right, including intellectual property rights; or (d) your violation of applicable law.

Kitalon Labs may suspend or terminate your access to the Apps at any time, with or without cause, with or without notice. Upon termination, the licence granted in Section 2 immediately terminates. Sections 5, 9, 10, 11, 13, and 14 survive termination.

You may terminate these Terms at any time by uninstalling all Apps and ceasing all use.

These Terms are governed by the laws of Bangladesh, without regard to conflict of law principles.

Any dispute arising from these Terms or the Apps shall first be submitted to good-faith negotiation for 30 days. If not resolved, disputes shall be finally settled by binding arbitration in Dhaka, Bangladesh, conducted in English, under rules mutually agreed by the parties or, failing agreement, under the Bangladesh International Arbitration Centre (BIAC) rules. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

Nothing in this Section prevents either party from seeking emergency injunctive relief from a competent court.

Notwithstanding the foregoing, if you are a consumer resident of the European Union, United Kingdom, or a jurisdiction that mandates consumer access to local courts, you retain the right to bring claims in the courts of your habitual residence.

• Entire Agreement: These Terms and the Privacy Policy constitute the entire agreement between you and Kitalon Labs regarding the Apps and supersede all prior agreements.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Kitalon Labs's failure to enforce any right or provision does not constitute a waiver.
• Assignment: You may not assign these Terms without Kitalon Labs's prior written consent. Kitalon Labs may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Force Majeure: Kitalon Labs will not be liable for delays or failure to perform resulting from causes beyond its reasonable control.
• Language: These Terms are written in English. Any translations are provided for convenience only. In case of conflict, the English version prevails.

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date and, where required by applicable law or where the change materially affects your rights, by in-app notification. Your continued use of the Apps after the effective date of any changes constitutes your acceptance of the revised Terms.
